Introduction

Welcome to FILR, a beauty appointment booking platform. These Terms of Service ("Terms") govern your access to and use of the FILR platform, including our website, mobile applications, and services (collectively, the "Platform").

By accessing or using our Platform, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform.

Definitions

• "FILR", "we", "us", and "our" refer to the FILR Beauty Platform.
• "Client" refers to any individual who uses the Platform to search for, view, and book appointments with Beauty Service Providers.
• "Beauty Service Provider" or "Provider" refers to any individual or business that offers beauty services and uses the Platform to list their services and manage appointments.
• "User", "you", and "your" refer to any individual or entity that accesses or uses the Platform.
• "Content" refers to any information, text, graphics, photos, videos, or other materials uploaded, downloaded, or appearing on the Platform.

Account Registration

To access certain features of the Platform, you may need to register for an account. When you register, you agree to provide accurate, current, and complete information about yourself and to update this information to maintain its accuracy.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to terminate or suspend your account at our discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

Platform Use and Restrictions

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Platform in any way that violates applicable laws or regulations
• Use the Platform to transmit any material that is defamatory, offensive, or otherwise objectionable
• Use the Platform to impersonate any person or entity or misrepresent your affiliation with a person or entity
• Use the Platform to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Platform
• Attempt to gain unauthorized access to the Platform, other users' accounts, or computer systems or networks connected to the Platform
• Use any robot, spider, or other automated device to access the Platform for any purpose without our express written permission
• Introduce any viruses, Trojan horses, worms, logic bombs, or other harmful material to the Platform
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Platform

Client Terms

Booking Appointments

Clients can use the Platform to search for, view, and book appointments with Beauty Service Providers. By booking an appointment, you agree to honor the appointment and arrive on time.

Cancellations and No-Shows

Cancellation policies are set by individual Beauty Service Providers. You agree to abide by the cancellation policy of the Provider you book with. Repeated cancellations or no-shows may result in restrictions on your account.

Reviews and Ratings

Clients may submit reviews and ratings for Providers they have booked through the Platform. Reviews must be honest, accurate, and based on your personal experience. We reserve the right to remove reviews that violate these Terms.

Provider Terms

Provider Listings

Providers are responsible for creating and maintaining accurate listings, including service descriptions, pricing, availability, and any special conditions or requirements. Providers agree to keep their profiles and availability up to date.

Appointment Management

Providers agree to honor all appointments booked through the Platform. Providers must maintain their calendars to prevent double-bookings and must notify clients promptly if an appointment needs to be rescheduled or canceled.

Service Delivery

Providers agree to deliver services as described in their listings. Services must be performed with professional care and skill, in compliance with all applicable laws and regulations.

Fees and Payments

Providers agree to pay FILR's service fees as outlined in their subscription plan. Service fees may vary based on the plan selected and are subject to change with notice.

Payments

FILR does not directly process payments for beauty services. Providers may choose to collect payments directly from clients or use integrated third-party payment processors. FILR is not responsible for payment disputes between Clients and Providers.

For platform subscription fees and other charges, FILR uses secure third-party payment processors. By providing payment information, you represent that you are authorized to use the payment method provided.

Intellectual Property

The Platform and its original content, features, and functionality are owned by FILR and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You retain ownership of any Content you submit to the Platform. By submitting Content, you grant FILR a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, and distribute the Content for the purpose of operating and improving the Platform.

Disclaimers and Limitations of Liability

The Platform is provided "as is" and "as available" without any warranties of any kind, either express or implied. FILR disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

FILR does not guarantee the accuracy, completeness, or reliability of any Content on the Platform. FILR is not responsible for the quality of services provided by Beauty Service Providers.

In no event shall FILR be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or in connection with your use of the Platform.

Indemnification

You agree to indemnify, defend, and hold harmless FILR and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any rights of another
• Your Content or the services you provide (for Providers)

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved exclusively through final and binding arbitration in San Francisco, California. The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting a prominent notice on our Platform or by sending you an email. Your continued use of the Platform after such modifications will constitute your acknowledgment of the modified Terms and agreement to be bound by them.
